In April 2009 „Centrowet” Sp. z o.o. (Bydgoszcz) and „Centrowet” Rzeszów Sp. z o.o. merged with Medivet S.A. (Śrem). The merger completed the consolidation process which started in August 2008 with the formation of a Capital Group gathering the three entities. Medivet S.A. is currently the largest importer and distributor of veterinary products in Poland. CET has acted as a strategic and financial advisor in the process of consolidation since 2007. The scope of work completed in the first stage of the process included a) conducting financial analyses and valuations of the entities for the purpose of establishing a merger parity for the subsequent shareholders of Medivet S.A. and b) providing support in the implementation of the planned consolidation which involved the preparation of the necessary agreements and corporate documentation determining the conditions of the transaction. In the second stage of the process CET designed a merger plan encompassing both formal and legal aspects as well as issues related to the implementation of new organizational solutions. Apart from the support of the Medivet S.A. Management Board in managing the organizational changes, CET, in cooperation with the company’s management, developed a new organizational structure that followed a workflow of processes designed for the new entity.
